The services have been made available to you subject to your compliance with the terms and conditions set forth below (the "Terms of Service"). Please read this document carefully before accessing or using our services. By accessing or using our services through whatever means will constitute full acceptance of these terms and conditions. If you do not wish to be bound by these terms and conditions, do not access or use our services.
We hold ourselves accountable to our clients, by honoring our commitments, providing results, and striving for the highest level of quality. We infuse every project with skills gained through years of experience in the industry. We do our best to provide every client with a 100% satisfactory service. And we deal with our clients honestly and fairly.
No payment is required before services are rendered. You pay only when you are satisfied.
When ordering VReplay services, you are responsible for providing accurate and reliable project related data and personal information. You agree that any email address given for business purposes will be active and you understand that you are responsible for replying in time to all correspondence sent to that address by VReplay.
VReplay reserves the right to refuse or terminate any order with or without prior notice for any reason at anytime we see fit.
Any cost estimates that are or have been given by VReplay are estimates only. Actual client requirements, time spent and services supplied may be used as the basis for billing.
We may use files and resources you provide during the project life cycle. Materials provided by you must be free of copyright, unless copyright is held by you and permission is given to VReplay to use them. We can not be held responsible for any copyright or legal problems which may arise from your submissions.
You may at any time request a progress report and view the work for inspection as we may also ask you for periodic inspection of the work in progress for approval.
Upon completion of the project and payment in full, VReplay transfers all custom designs by VReplay along with development source files to you. Please note that VReplay is not able to distribute or reproduce any intellectual property and files (e.g. font files, icons, software) made by third parties, unless we are granted permission to do so. A descriptive list of extra materials used during project development can be found in the package directory when you receive the final product.
We work hard to complete all projects in a timely manner. We provide you with an estimated project processing time. However, we do not guarantee deadlines as each project is unique and so is each client. Please understand that additional services, revisions to design or development of your project and delays in providing us with the information we require will significantly add to the delivery time.
Please review our Privacy Policy to understand our practices regarding the use and disclosure of your project information upon completion. We retain the right to display graphics, design elements and other information of your project as examples of our work in our respective portfolios.
VReplay offers minor updates (e.g. link changes, minor text changes) at no additional charge for 60 days after the delivery date. Maintenance after 60 days will be billed at USD $25 per hour. Fees for major or complex changes will be determined on a case by case basis.
You may cancel your project at anytime.
In the event of cancellation of agreement, ownership of all artwork, layouts and development remain copyrighted to VReplay and will not be transferred to the client.
Unless otherwise noted, if VReplay is unable to communicate with a client on a project for a duration of 14 days by email or phone during the design and development process, the project will be automatically canceled and no refund will be issued.
Upon confirmation of your order, VReplay will contact you as soon as possible to provide you with an initial draft preview of your project. A response to the draft preview is required within 72 hours. If there is no clear response within 72 hours, the project may be canceled. After approval of the preview, a deposit of 30% of the total estimated cost of the project must be made in order to begin substantial work, with the remaining balance due when the project is complete, but before it is delivered.
Upon completion of the project, you will review the work for approval and submit any changes as soon as possible. When the final product is ready and approved, the remaining fee for services rendered will be due. Upon receipt of the balance due, the final product will be delivered to the client. If final payment is not received within 7 days of the completion of work, a 5% interest of the total project cost will be charged to the client for every daily delay in payment of the project.
Payments must be made in US Dollars (USD) via PayPal or Bank Transfer, and we reserve the right to ask for an alternate method of payment. No additional charges outside the unanimous package agreement will apply unless circumstances cause a need and will NOT be added without consent from the client.
Please understand that your project is a combination of two things: the designers' time, and the finished product. Payments are expected after services are rendered, and you pay only when you are satisfied. Thus unless the substantial work has not started, all payments are NON-REFUNDABLE.
We reserve the right to implement price adjustments at any time we see fit and without notice.
When you visit VReplay, use the website(s), send emails (via online forms, email service provider web pages, or email clients) to VReplay, you are communicating with us electronically, and thereby you are consenting to receive communications from us electronically or by other means available. We will communicate with you electronically, by emails, telephone or facsimile. It is further understood that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communication be in writing.
Unless otherwise noted, all materials contained on this site (collectively "Content"), including, but not limited to, text, graphics, icons, still and moving images, sound recordings, musical compositions, audiovisual works and software, are the property of VReplay or its content suppliers and are protected by international copyright laws and may not be copied without the express permission of VReplay, which reserves all rights. The compilation of all Content on this site is the exclusive property of VReplay.
All Content is copyrighted as a collective work under international copyright laws, and VReplay, owns a copyright in the selection, coordination, arrangement, and enhancement of such Content. You may not modify, remove, delete, augment, add to, publish, transmit, participate in the transfer or sale of, create derivative works from, or in any way exploit any of the Content, in whole or in part.
You may print or download portions of the materials from various areas of this website solely for your own non-commercial use provided that you agree not to change or delete any copyright or proprietary notices from the materials.
